Terms for website visitors and business contacts

These Website Terms ("Terms") apply to healthdeskit.com (the "Site"), operated by HealthDesk IT LLC ("HealthDesk IT," "we," "us," or "our"). They do not replace an accepted proposal, statement of work, master service agreement, service schedule, business associate agreement, or other signed client document.

Scope and acceptance

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. The Site is intended for business users seeking general information about HealthDesk IT and its planned services.

Permitted website use

You may browse the Site, review public materials, and submit legitimate business inquiries. You may not:

  • Attempt unauthorized access to the Site, accounts, infrastructure, or connected systems.
  • Introduce malicious code, automate abusive traffic, scrape at a disruptive rate, or interfere with availability.
  • Impersonate another person or organization, submit false information, or use the Site for unlawful activity.
  • Send patient records, PHI, credentials, access keys, confidential contracts, or sensitive attachments through a public form.
  • Copy, republish, or commercially exploit Site content except as permitted by law or written permission.

Inquiries and the service relationship

Site content describes possible service categories and working approaches. It is not an offer to perform a specific service and does not guarantee acceptance, availability, compatibility, price, schedule, onsite coverage, outcome, or response time.

No emergency or automatic support: public forms, email, and voicemail are not monitored as emergency-response channels. A submission does not open a support ticket, establish an SLA, or create a duty to monitor, respond, recover, or intervene.

A client relationship begins only when authorized parties accept the applicable written documents. Those documents control the actual scope, exclusions, responsibilities, fees, schedule, support route, service levels, dependencies, security requirements, termination rights, and other engagement terms. If a signed client document conflicts with these Website Terms, the signed client document controls for that engagement.

Healthcare, PHI, and business associate boundaries

The Site is not a patient portal, medical-record exchange, clinical communication channel, emergency service, or source of medical, legal, or compliance advice. HealthDesk IT provides technology services; it does not diagnose, treat, or make clinical decisions.

These Website Terms do not authorize HealthDesk IT to create, receive, maintain, or transmit PHI. If an accepted engagement makes HealthDesk IT a business associate, access and work involving PHI require the appropriate written service terms and, where applicable, a business associate agreement before that access begins. The facts of the engagement determine the parties' roles and obligations.

Keep the public inquiry non-sensitive.Use the approved secure route provided for an active engagement when protected or confidential information is actually required.

Site information and third-party links

We work to keep public information useful and current, but technology, vendors, laws, guidance, availability, and service capabilities can change. General Site content should not be treated as a site assessment, product recommendation, compliance determination, legal opinion, security guarantee, or substitute for professional advice based on the actual environment.

The Site may link to third-party resources for context. HealthDesk IT does not control their content, availability, security, terms, or privacy practices. A link does not automatically mean partnership, certification, sponsorship, or endorsement.

Intellectual property

The Site, HealthDesk IT name and branding, original text, graphics, layouts, software, and other materials are owned by HealthDesk IT or used with permission and may be protected by intellectual-property laws. You may view and make reasonable internal business use of public Site content. No other license is granted.

Third-party names, marks, and product references belong to their respective owners. Their appearance provides working context and does not imply a relationship unless the Site expressly says so.

Site availability, disclaimers, and liability

The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, HealthDesk IT disclaims warranties concerning Site accuracy, completeness, availability, security, merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by applicable law, HealthDesk IT is not responsible for indirect, incidental, special, consequential, or punitive losses arising from Site use, inability to use the Site, reliance on general Site content, third-party links, transmission interruptions, or unauthorized misuse. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Limitations, warranties, remedies, and risk allocation for contracted services belong in the written agreement governing those services, not on this public page.

Responsibility for misuse

To the extent permitted by applicable law, you are responsible for claims, losses, and reasonable costs resulting from your unlawful misuse of the Site, violation of these Terms, infringement of another party's rights, or submission of content you were not authorized to provide.

HealthDesk IT may restrict or block Site access when reasonably necessary to protect the Site, users, infrastructure, legal rights, or service availability.

Governing law, severability, and changes

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. Subject to any enforceable written agreement that provides otherwise, disputes concerning these Website Terms will be handled in courts with appropriate jurisdiction in New Jersey.

If a provision of these Terms is found unenforceable, the remaining provisions will continue to the extent allowed by law. A failure to enforce a provision is not a waiver of the right to enforce it later.

We may update these Terms when the Site, business practices, or legal requirements change. The effective date at the top identifies the current revision. Changes apply prospectively when posted unless applicable law requires otherwise.
