These Website Terms ("Terms") apply to healthdeskit.com (the "Site"), operated by HealthDesk IT LLC ("HealthDesk IT," "we," "us," or "our"). They do not replace an accepted proposal, statement of work, master service agreement, service schedule, business associate agreement, or other signed client document.
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. The Site is intended for business users seeking general information about HealthDesk IT and its planned services.
You may browse the Site, review public materials, and submit legitimate business inquiries. You may not:
Site content describes possible service categories and working approaches. It is not an offer to perform a specific service and does not guarantee acceptance, availability, compatibility, price, schedule, onsite coverage, outcome, or response time.
A client relationship begins only when authorized parties accept the applicable written documents. Those documents control the actual scope, exclusions, responsibilities, fees, schedule, support route, service levels, dependencies, security requirements, termination rights, and other engagement terms. If a signed client document conflicts with these Website Terms, the signed client document controls for that engagement.
The Site is not a patient portal, medical-record exchange, clinical communication channel, emergency service, or source of medical, legal, or compliance advice. HealthDesk IT provides technology services; it does not diagnose, treat, or make clinical decisions.
These Website Terms do not authorize HealthDesk IT to create, receive, maintain, or transmit PHI. If an accepted engagement makes HealthDesk IT a business associate, access and work involving PHI require the appropriate written service terms and, where applicable, a business associate agreement before that access begins. The facts of the engagement determine the parties' roles and obligations.
Keep the public inquiry non-sensitive.Use the approved secure route provided for an active engagement when protected or confidential information is actually required.
We work to keep public information useful and current, but technology, vendors, laws, guidance, availability, and service capabilities can change. General Site content should not be treated as a site assessment, product recommendation, compliance determination, legal opinion, security guarantee, or substitute for professional advice based on the actual environment.

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. Subject to any enforceable written agreement that provides otherwise, disputes concerning these Website Terms will be handled in courts with appropriate jurisdiction in New Jersey.
If a provision of these Terms is found unenforceable, the remaining provisions will continue to the extent allowed by law. A failure to enforce a provision is not a waiver of the right to enforce it later.
